STOCKHOLDERS' EQUITY
13.     STOCKHOLDERS’ EQUITY:
In April 2011, the Company’s Board of Directors authorized the repurchase of up to $500.0 million of the Company’s Class A Common Stock and Class B Convertible Common Stock. The Board of Directors did not specify a date upon which this authorization would expire. Share repurchases under this authorization are expected to be accomplished from time to time based on market conditions, the Company’s cash and debt position, and other factors as determined by management. Shares may be repurchased through open market or privately negotiated transactions, and management currently expects that the repurchases under this authorization will be implemented over a multi-year period. The Company may fund share repurchases with cash generated from operations or proceeds of borrowings under its senior credit facility. Any repurchased shares will become treasury shares.
During the six months ended August 31, 2011, the Company repurchased 9,766,888 shares of Class A Common Stock pursuant to this authorization at an aggregate cost of $187.5 million, or an average cost of $19.20 per share, through open market transactions. Subsequent to August 31, 2011, and through October 11, 2011, the Company repurchased an additional 4,751,600 shares of Class A Common Stock pursuant to this authorization at an aggregate cost of $85.7 million, or an average cost of $18.02 per share, through open market transactions. In total, the Company has repurchased 14,518,488 shares of Class A Common Stock pursuant to this authorization at an aggregate cost of $273.2 million, or an average cost of $18.82 per share. The Company used revolver borrowings under the 2006 Credit Agreement and cash flows from operating activities to pay the purchase price for the repurchased shares. The repurchased shares have become treasury shares.
