Item 8.01 Other Events.

On May 2, 2017, Constellation Brands, Inc. (the “Company”) and certain subsidiary guarantors (the “Guarantors”) entered into an underwriting agreement (the “Underwriting Agreement”) with Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities LLC, for themselves and as representatives of the underwriters named therein (the “Underwriters”) for the sale by the Company of $1.5 billion aggregate principal amount of Senior Notes, consisting of (i) $500.0 million of 2.70% Senior Notes due 2022 for a public offering price of 99.782% of the principal amount of such notes; (ii) $500.0 million of 3.50% Senior Notes due 2027 for a public offering price of 99.766% of the principal amount of such notes; and (iii) $500.0 million of 4.50% Senior Notes due 2047 for a public offering price of 99.559% of the principal amount of such notes (collectively, the “Notes”). The purchase of the Notes by the Underwriters is scheduled to close on May 9, 2017, subject to customary closing conditions. The Company intends to use the net proceeds from this offering to repay all of its outstanding 7.250% Senior Notes due May 2017 in the aggregate principal amount of $700 million and to repay a portion of the outstanding indebtedness under our U.S. Term A Loan.

We have filed with the Securities and Exchange Commission a Prospectus dated May 2, 2017 and a Prospectus Supplement for the Notes dated May 2, 2017, each of which forms a part of our Registration Statement on Form S-3 (File No. 333-217584) (the “Registration Statement”) in connection with the public offering of the Notes. We are filing the item listed below as an exhibit to this Current Report for the purpose of incorporating it as an exhibit to the Registration Statement.
